Terms for using Repliku

1. Provider and scope

Repliku is provided by Giuseppe Cerutti, trading as Repliku, VAT no. IT03365870835. You can contact us at info@repliku.io.

The service is intended exclusively for professional use by companies, sole traders, self-employed professionals and organisations. By creating an account, the customer confirms that they act within their professional activity and have authority to bind the organisation they represent.

2. Service

Repliku connects locations authorised by the customer, imports reviews, generates replies using artificial intelligence systems, may publish them according to configured rules, and produces reputation reports and insights. Available features and providers may evolve over time without substantially reducing the purchased service.

3. Accounts and authorisations

• The customer must provide accurate information, protect credentials and promptly report unauthorised access.
• The customer confirms that they are authorised to connect and manage the selected locations.
• Google or other provider authorisations may be revoked by the customer; revocation may interrupt synchronisation and publishing.
• The customer remains responsible for chosen settings and the people authorised to act on the account.

4. AI replies and automatic publishing

AI-generated content may contain inaccuracies and must be configured consistently with the business. In draft mode, the customer decides whether to edit or publish. By enabling automatic publishing, the customer authorises Repliku to send replies to the provider without case-by-case approval, according to the configured rules. The customer may change those rules at any time.

Repliku applies technical and safety controls, but the customer remains responsible for the legality, accuracy and suitability of content published on their behalf.

5. Trial, pricing and renewal

• The initial trial lasts 14 days, includes the product features shown for one location chosen by the customer, starts when that location is activated and does not require a card.
• At the end of the trial, premium features are suspended unless a subscription is activated.
• Pricing is calculated per active billable location. The total is shown before checkout.
• The customer may choose monthly or annual billing. Unless cancelled, the subscription renews automatically for the same period.
• Applicable prices and taxes are shown by Stripe at checkout. Euro prices configured as tax inclusive include applicable taxes in the displayed total.

6. Billing cycle, locations and cancellation

• Moving from monthly to annual billing takes effect immediately after preview and confirmation; Stripe applies credit for the remaining monthly period and starts a new annual period.
• Moving from annual to monthly billing is not available during an already-paid annual period. The customer may disable renewal and choose monthly billing after expiry.
• Adding or removing billable locations may change subscription quantity and total; Repliku shows a confirmation before submitting the change to Stripe where required.
• Cancellation stops renewal but does not entitle the customer to a refund for a period already started, except where required by law or where Repliku is at fault.

7. Payments and billing

Payments, payment methods, invoices and checkout-related tax operations are handled through Stripe. The customer must maintain valid billing information and a valid payment method. If payment fails, the service may be limited or suspended after Stripe retry attempts.

8. Acceptable use

The customer must not use Repliku to:

• manage locations without authorisation or breach provider rules;
• publish unlawful, misleading, discriminatory, offensive content or content that infringes third-party rights;
• attempt to bypass limits, security controls or billing systems;
• extract, resell or replicate the service without authorisation;
• interfere with the availability, integrity or security of the platform.

9. Suspension and termination

Repliku may suspend access for non-payment, security risk, unlawful use, material breach of these Terms, or at the request of a provider or competent authority. Where possible, the customer will be informed and given an opportunity to correct the issue. The customer may stop using the service and disable renewal at any time.

10. Data and intellectual property

The customer retains rights to their data and grants Repliku a technical licence, limited to the duration of the service, to process it and provide the requested features. Repliku software, interface, brand, models, documentation and proprietary components remain the property of the provider or their respective licensors.

11. Third-party providers and availability

Repliku also depends on external services, including Google Business Profile, Supabase, Vercel, Stripe, Resend and LLM providers. Outages, API changes, revoked authorisations or limits imposed by those providers may affect the service. Repliku takes reasonable continuity and recovery measures but does not guarantee uninterrupted availability.

12. Warranties and liability

Repliku is provided with professional care, but does not guarantee an increase in ratings, revenue or review volume. To the extent permitted by law, the provider is not liable for indirect loss, lost profit, goodwill or data caused by misuse, customer configuration or third-party provider unavailability. Total liability for direct loss will not exceed the amount paid by the customer in the 12 months before the event, except in cases of fraud, gross negligence or mandatory legal limits.

13. Changes

Repliku may update these Terms, features and prices. Material changes will be communicated with reasonable notice. New prices apply from the next renewal; customers who do not accept them may disable renewal before they take effect.

14. Governing law and contact

These Terms are governed by Italian law. Disputes between professionals are submitted to the competent court under applicable rules. For support: support@repliku.io.
